Terms and Conditions for MacroChat

Welcome to MacroChat!

These Terms of Service (“Terms”) govern your access to and use of the MacroChat website and progressive web application (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1) What MacroChat Is

MacroChat is a chat- and voice-based food logging tool that helps you track meals and view daily/weekly nutrition targets. MacroChat provides general informational features and is not a medical device.

2) Not Medical Advice

MacroChat does not provide medical or healthcare advice. Nutrition data may be incomplete or vary by brand, restaurant, or preparation method. Always consult a qualified healthcare professional for medical, dietary, or fitness advice. If you have a medical emergency, call your local emergency number.

3) Eligibility & Accounts

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. You agree to provide accurate information and to keep your account secure.

Authentication. You may sign in with:

Email One-Time Passcode (OTP), or

Google OAuth.

You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

4) Subscriptions, Trials, Billing & Refunds

Plans. MacroChat currently offers:

3-day free trial, then

$9.99/month, or

$59.99/year (billed upfront).

(Prices may change prospectively—see §14.)

Billing & Auto-Renewal. Subscriptions renew automatically at the end of each billing period unless canceled before renewal. Taxes may apply. By subscribing, you authorize us (or our payment processor, e.g., Stripe) to charge your payment method on a recurring basis.

Trial. If you do not cancel before the 3-day trial ends, your paid subscription begins automatically.

Cancellation. You can cancel anytime from your account settings; your access remains through the end of the current paid term.

Refunds. Except where required by law, charges are non-refundable and we do not provide credits or partial refunds for unused time after the trial. We may, at our sole discretion, grant refunds on a case-by-case basis.

5) License & Acceptable Use

We grant you a personal, limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

You agree not to:

copy, scrape, bulk-export, or resell our databases or content;

reverse engineer, decompile, or attempt to derive source code (except where permitted by law);

interfere with or disrupt the Service or security features;

use the Service to collect or process personal data unlawfully;

upload harmful, infringing, or deceptive content.

We may suspend or terminate accounts that violate these Terms.

6) User Content

You may submit content (e.g., meal logs, custom foods). You retain ownership of your content. You grant MacroChat a worldwide, non-exclusive license to host, process, and display your content solely to operate and improve the Service.

You are responsible for your content and represent you have necessary rights to submit it.

7) Data; Privacy; Communications

Our Privacy Policy (available at https://macrochat.io/privacy-policy) explains how we collect, use, and share information. By using the Service, you consent to our data practices.

Operational emails & notifications. We may send you transactional communications (e.g., sign-in codes, security alerts, reminder settings you enable). Marketing emails are sent only with your consent; you can opt out anytime.

Push notifications. If you enable push notifications, we’ll send reminders you configure (e.g., daily check-ins) and inactivity nudges (e.g., 3/7/30 days). On iOS, push may require adding the app to your home screen.

8) Accuracy & Third-Party Content

Nutrition values, brand items, restaurant entries, and similar data are estimates and may vary. We are not responsible for inaccuracies due to supplier changes, preparation methods, or labeling tolerances. The Service may link to or incorporate third-party content or services; we are not responsible for them.

9) Service Changes; Beta Features

We may modify or discontinue features at any time, including offering beta/experimental features that may be unstable. We are not liable for any modification, suspension, or discontinuation of the Service.

10) Intellectual Property

MacroChat, the MacroChat logo, and all related trademarks, service marks, and trade names are the property of their respective owners. Except for the limited license in §5, no rights are granted to you.

11) Feedback

If you provide feedback or suggestions, you grant MacroChat a perpetual, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

12) Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or create risk or legal exposure for us. Upon termination, your right to use the Service ends. Sections intended to survive (e.g., IP, disclaimers, limitation of liability) will survive.

13) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACROCHAT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (D) THE SERVICE’S ACCURACY OR AVAILABILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR $50, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations; some of the above may not apply to you.

15) Changes to Terms & Pricing

We may update these Terms or pricing from time to time. If we make material changes, we will notify you (e.g., by email or in-app notice). Changes apply prospectively. Continued use after changes become effective constitutes acceptance.

16) Governing Law; Venue

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of state and federal courts located in Middlesex County, New Jersey for any dispute not subject to arbitration (if you later add an arbitration clause).
